ARTICLE 3 . – OFFICERS
3.01 Officer Positions The officers of the Corporation shall be a Chief Executive Officer and President , a Secretary , an Executive Vice President and a Chief Financial Officer . The Board of Directors may create additional officer positions , define the authority and duties of each such position , and elect or appoint persons to fill the positions . Any two ( 2 ) or more offices may be held by the same person , except the offices of Chief Executive Officer / President and Secretary .
3.02 Election and Term of Office The officers of the Corporation shall be elected every three ( 3 ) years or at the end of the specified term as listed in the bylaws by the Board of Directors at the regular annual meeting of the Board of Directors . If the election of officers is not held at this meeting , the election shall be held as soon thereafter as possible . Each officer shall hold office until a successor is duly elected and qualified . Any officer may be elected to succeed themselves in the same office . a . Qualifications to run for Office . i . Chief Executive Officer and President must meet one ( 1 ) of the following scenarios : A A Director that has served a minimum of four ( 4 ) years with the organization of which must have : Served on the Board of Directors for at least two ( 2 ) years ; Served as a Chair / Co -‐ Chair for a Production Team Committee in either the Parade , Festival or Volunteer Committees for at least one ( 1 ) year . B A Director that has served a minimum of three ( 3 ) years with the organization of which must have : Served on the Board of Directors for at least two ( 2 ) years ; Served as a Chair / Co -‐ Chair for a Production Team Committee in either the Parade , Festival or Volunteer Committees for at least one ( 1 ) year as well as a Chair / Co -‐ Chair of the Sponsorships or Marketing . Serving on more than three ( 3 ) Production Team Committees as a Committee Member ( not a Chair ) in the same year could substitute the requirements of the Heritage Gala and Marketing but not the need to Chair / Co -‐ Chair a Core Committee such as Parade , Festival and Volunteers . ii . Executive Vice President must meet one ( 1 ) of the following scenarios : A A Director that has served a minimum of three ( 3 ) years with the organization of which must have : Served on the Board of Directors for at least two ( 2 ) years ; Served as a Chair / Co -‐ Chair for a Production Team Committee in either the Parade , Festival or Volunteer Committees for at least one ( 1 ) year . B A Director that has served a minimum of three ( 3 ) years with the organization of which must have : Served on the Board of Directors for at least two ( 2 ) years ; Served as a Chair / Co -‐ Chair for a Production Team Committee in either the Parade , Festival or Volunteer Committees for at least one ( 1 ) year as well as a Chair / Co -‐ Chair of the Heritage Gala or Friends of Pride VIP . Serving on more than three ( 3 ) Production Team Committees as a Committee Member ( not a Chair ) in the same year could substitute the requirements of the Heritage Gala and Marketing but not the need to Chair / Co -‐ Chair a Core Committee such as Parade , Festival and Volunteers . iii . Secretary : A Director that has served a minimum of two ( 2 ) years on the Board of Directors as a member at -‐ large in good standing ; Served as a Chair / Co -‐ Chair / Committee Member for a Production Team Committee in either the Parade , Festival or Volunteer Committees for at least one ( 1 ) year . iv . Chief Financial Officer must meet one ( 1 ) of the following scenarios :
A A Director that has served a minimum of two ( 2 ) years with the organization of which must have : Served as a Treasurer in a not -‐ for -‐ profit organization for more than three ( 3 ) years ; A bachelor ’ s degree in accounting or finance ; CPA certificate or equivalent and a clean background check ;
B A Director that has served a minimum of two ( 2 ) years with the organization of which must have : Served as a Treasurer in a not -‐ for -‐ profit organization for more than one ( 1 )
