successors,
and
assigns
except
as
otherwise
provided

the
bylaws.
16.08 Logos
and
Trademarks
All
Board
of
Directors,
Production
Chairs,
Committee
Members
and
all
other
members
of
the
organization
shall
protect
these
logos
and
trademarks
from
infringement.
Only
the
President/CEO
has
the
authority
to
authorize
the
use
of
any
logos
and/or
trademarks
of
the
organization.
The
official
logos
and
trademarks
of
the
organization
are:
a. The
figure
of
a
person
with
a
heart
and
five
(5)
stars
overhead
with
the
words
“Pride
Houston”
underneath
or
to
the
side.
b. The
figure
of
a
person
with
a
heart
and
five
(5)
stars
overhead.
c. The
registered
trademark
terms
are:
Houston
Pride
Week,
OutInform,
Pride
Houston;
Pride
Houston
Parade
and
Festival;
Pride
Houston
Celebration;
Houston
LGBT
Pride
Celebration;
Houston
Pride
Guide;
Pride
Superstar,
Pride
in
the
Park,
and
Wonderland
Houston.

ARTICLE
17.
– DISSOLUTION
OF
SALE
OF
ASSETS
17.01 Dissolution
or
Sale
of
Assets
The
affirmative
vote
of
at
least
eighty
percent
(80%)
of
the
Directors
then
in
office
shall
be
required
to
dissolve
the
Corporation.
Upon
dissolution
of
the
Corporation,
any
assets
remaining
after
payment
of
or
provision
for
its
debts
and
liabilities
shall,
consistent
with
the
purposes
of
the
organization,
be
paid
over
to
charitable
organizations
exempt
under
the
provisions
of
Section
501(c)(3)
of
the
U.S.
Internal
Revenue
Code
or
corresponding
provisions
of
subsequently
enacted
federal
law.
No
part
of
the
net
assets
or
net
earnings
of
the
Corporation
shall
inure
to
the
benefit
of
or
be
paid
or
distributed
to
an
officer,
director,
member,
employee,
or
donor
of
the
Corporation
