BYLAWS OF THE AMERICAN MINIATURE HORSE ASSOCIATION, INC. ARTICLE I - NAME Pursuant to its Articles of Incorporation under the laws of the State of Texas, the name of this organization shall be The American Miniature Horse Association, Inc., and it shall be a non-profit corporation. ARTICLE III - LOCATION The principal place of business of the Association shall be determined by the Board of Directors subject to approval of the membership at the next annual meeting other than in case of emergency. Its members, Officers or Directors may be residents of any state, territory, or country. Business may be conducted or carried on at any place convenient to such members or officials, as may be participating. ARTICLE IV - MEMBERS Section 1, Membership Membership in AMHA is a privilege, not a right, and is open to all persons who subscribe to the objectives of the AMHA. Members agree to abide by its rules and regulations. Membership or application, therefore, may be terminated or refused by the Board of Directors. Members of the Association shall be admitted, retained, reprimanded, fined, suspended or expelled in accordance with such rules and regulations as the membership may, from time to time adopt. In all matters of elections governed by a vote of the members, each regular and lifetime member in good standing who has attained the age of nineteen (19) years shall be entitled to one vote. Associate and Youth members shall not be entitled to vote. To do business with AMHA you must be a regular, associate or lifetime member. Doing business is defined as: any monetary transaction made directly with AMHA for goods and/or services with the exception of Miniature Horse World Advertising and Non-Member Am ateur Cards. (Amended 02-06, effective 01-09)(Amended 02-11, effective 0112) (Amended 02-12, effective 01-13) Section 2, Classes of Membership (A) Regular Members Regular Members are those persons who own an undivided or community property interest in and have registered with the Association one or more American Miniature Horses, who have applied for and been accepted to membership in the Association, by the Board of Directors or their designee and who are not in arrears in payment of their annual dues. Up to four (4) directors of a Canadian Provincial Corporation, who have paid for regular membership, and whose corporation owns one or more Miniature Horses, may vote in lieu of such corporation. 13 BYLAWS ARTICLE II - PURPOSES The objects of The American Miniature Horse Association, Inc., shall be those stated in Article IV of its Articles of Incorporation.
