GENERAL 12. Fees exclude any previously appointed agency, Professional Fees or 3rd party brokerage fees. 13. Reasonable disbursements incurred in undertaking any transaction are typically the responsibility of the client but will be agreed between the parties in advance of being incurred (e.g. travel). 14. Staged fees or abortive fees may apply 15. All rates will be converted to local currency at time of invoicing, if required 16. All fees are net of VAT or other sales tax (which will be payable at the prevailing rate in the applicable country where customary). 17. Fees are due and payable within 30 days of substantial completion of services and issuance of invoice. 18. Rates represent fees for a 1,000 sqm (or 10,000 sf) Grade A office lease or 5,000 sqm (50,000 sf) in or near a city serviced by JLL. 19. Small projects may be subject to a minimum fee or revision in scope to be agreed in advance. 20. Rates to be reviewed annually as rates and payment customs tend to fluctuate with market conditions 13.2 Describe any proposed tiered discounting program for commission refund to Zendesk. Rather than subtracting commission dollars, to provide more services, a broader team, and deliver the greatest value to Zendesk, we propose to ADD the following additional services which typically are purchased by our clients, at no cost to Zendesk: • A complete Headquarters Strategy engagement by our Strategic Consulting Practice. • JLL’s proprietary Portfolio Analytical Tool, aka “PAT”. • No fee for i-Desk Management – typically minimum fees to our clients apply to manage transactions in international • markets. We would propose to include the i-Desk Management fee out of our US transactional revenue, if any. We estimate the value of the above services to be over $200,000 over the term of a 3-year engagement. 13.3 Provide examples of how your fees would be assessed given the above scope of services. We have provided pricing for each scope item in the section where it was requested. Although your RFP did not include a section for Lease Administration, this service was included in your scope of services and we wanted to provide you with some preliminary pricing information. While we don’t have ample information to provide comprehensive pricing, the graphic below shows the per lease cost per service line. Please note that this does not include start-up, new lease abstraction or technology fees. Included in Section 15 is an overview of our capabilities.
