The senior facility agreement is a revolving credit facility with a maximum drawdown of £75,000,000. 28 – Ultimate controlling party The directors regard Castle 1 Limited, a company registered in England and Wales, as the Company’s immediate parent company and Keystone JVco Limited, a company registered in England and Wales, as the Company’s ultimate UK based parent company. Keystone JVco Limited is the owner of the largest group in which these results are consolidated whilst Keystone Midco Limited is the owner of the smallest group in which these results are consolidated. The Company’s ultimate parent company is Cotton Holding S.à.r.l., a company incorporated in Luxembourg, whilst the Company’s ultimate controlling party is TDR Capital LLP through investment funds under their management.
